Welcome to Voxerly. By accessing or using voxerly.xyz (the "Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Site.

1. About Voxerly

Voxerly is a peer-to-peer marketplace where independent creators ("Sellers") list and sell AI-made digital products including agents, automation workflows, fine-tuned models, and AI-powered apps ("Products") to buyers ("Buyers"). Voxerly acts solely as a platform facilitating transactions between Sellers and Buyers. Voxerly is not the seller of any Products listed on the Site.

2. Eligibility

You must be at least 18 years of age to use Voxerly. By using the Site, you represent and warrant that you meet this requirement. Voxerly reserves the right to terminate accounts of users found to be under 18.

3. Accounts

When account registration becomes available, you agree to provide accurate and complete information and to keep it updated. You are responsible for all activity that occurs under your account. You must not share your login credentials with any third party. Voxerly reserves the right to suspend or terminate accounts that violate these Terms.

4. Seller Responsibilities

Sellers are solely responsible for the accuracy, quality, and legality of the Products they list. By listing a Product, Sellers represent and warrant that:

  • They own or have the right to sell the Product
  • The Product does not infringe any third-party intellectual property rights
  • The Product functions as described in the listing
  • The Product does not contain malware, malicious code, or harmful content
  • The listing does not contain false or misleading information

Voxerly reserves the right to remove any listing that violates these Terms without notice.

5. Buyer Responsibilities

Buyers are responsible for reviewing Product listings before purchasing. All sales of digital Products are final. Refunds may be issued at Voxerly's sole discretion in cases where a Product is materially different from its description or fails to function as described. Buyers may not redistribute, resell, or share purchased Products without the Seller's explicit written permission.

6. Fees and Payments

Sellers set their own prices. Voxerly charges a platform fee on each transaction, which is deducted from the Seller's payout. The current fee structure is displayed in the Seller dashboard. Payments are processed by third-party payment providers. Voxerly is not responsible for errors made by payment processors.

Founding Sellers — the first 100 Sellers to list on Voxerly — pay zero platform fees for their first six months. This offer applies to verified founding accounts only and is subject to change with notice.

7. Prohibited Activities

You agree not to:

  • Use the Site for any unlawful purpose
  • List Products that infringe intellectual property rights
  • List Products containing malware, viruses, or malicious code
  • Manipulate or artificially inflate reviews or ratings
  • Attempt to circumvent Voxerly's fee system by transacting off-platform
  • Harass, abuse, or threaten other users
  • Use automated tools to scrape, crawl, or extract data from the Site
  • Attempt to gain unauthorised access to any part of the Site or its systems
  • Impersonate any person or entity

8. Intellectual Property

Sellers retain ownership of the Products they list. By listing a Product on Voxerly, Sellers grant Voxerly a non-exclusive, royalty-free licence to display and promote the listing on the Site. Buyers receive a personal, non-transferable licence to use purchased Products for their own personal or internal business use only. Buyers may not redistribute, resell, sublicence, or share Products without the Seller's explicit written permission.

The Voxerly name, logo, and all Site content created by Voxerly are the intellectual property of Voxerly and may not be used without written permission.

9. Piracy and Unauthorised Distribution

Unauthorised redistribution of purchased Products is strictly prohibited and may result in immediate account termination, legal action, and claims for damages. Voxerly may embed invisible watermarks or licence identifiers in delivered Products to detect and trace unauthorised sharing.

10. Reviews and Ratings

Buyers may leave honest reviews of Products they have purchased. Reviews must be truthful and based on genuine experience. Voxerly reserves the right to remove reviews that are false, defamatory, or in violation of these Terms. Sellers may not incentivise, manipulate, or threaten Buyers in connection with reviews.

11. Disclaimer of Warranties

The Site and all Products listed on it are provided "as is" and "as available" without warranties of any kind, either express or implied. Voxerly does not warrant that the Site will be uninterrupted, error-free, or free of viruses. Voxerly makes no representations about the quality, accuracy, or fitness for purpose of any Products listed by Sellers.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Voxerly's total liability to you for any claims arising out of or relating to these Terms or your use of the Site shall not exceed the amount you paid to Voxerly in the twelve months preceding the claim. Voxerly is not liable for any indirect, incidental, special, consequential, or punitive damages.

13. Dispute Resolution

In the event of a dispute, you agree to first contact Voxerly at ignaspats@gmail.com and attempt to resolve the matter informally for at least 30 days before pursuing any other remedy. If informal resolution fails, disputes shall be resolved by binding arbitration in Vilnius, Lithuania, conducted in English, under rules agreed by both parties. Nothing in this clause prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Lithuania, without regard to its conflict of law provisions.

15. Changes to These Terms

Voxerly reserves the right to update these Terms at any time. We will notify registered users by email of material changes. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
